EUROCELL POWER UP REWARDS PROGRAMME TERMS AND CONDITIONS

These terms and conditions, together with any documents referred to in them ("Terms and Conditions”) set out the terms on which Eurocell will provide the Eurocell Power Up Rewards Programme to eligible tradesman in which they may earn Points (as defined at clause 4.2), discounts and rewards (the "Promotion”).

Please read these Terms and Conditions carefully and make sure that you understand them before registering for the Promotion. By completing the registration form for the Promotion online and by participating in the Promotion, the Participant (as defined below) and any representative of the Participant ("Representative"), agree to be bound by these Terms and Conditions.

  1. EUROCELL
    1. The Rewards Programme is provided by Eurocell PLC (“Eurocell”) and may also be provided under a member of the Eurocell Group (as defined at clause 1.3) from time to time.
    2. Eurocell’s registered office is at Eurocell Head Office and Distribution Centre High View Road, South Normanton, Alfreton, England, DE55 2DT and its company number is 08654028.
    3. The Eurocell group of companies includes Eurocell PLC, its subsidiaries and holding company and those owned by its holding company in accordance with section 1261 of the Companies Act 2006 (“Eurocell Group”).

  2. PARTICIPANTS
    1. The Promotion is open to Eurocell trade customers with a registered Trade Cash or Credit Account (information on the Trade Cash or Credit Accounts can be found here: www.eurocell.co.uk/trade-account-benefits) (the "Participant(s)") and each a "Participant") who do not fall within the categories referred to in clauses 2.1.1 to 2.1.5 below:
      1. public sector organisations or housing associations and or the immediate families of such or public sector or housing association employees;
      2. large companies and/or contractors;
      3. any and all current and previous employees of Eurocell Group, or the immediate family members of such employees;
      4. any and all employees of any agencies or event suppliers or their families or agents or any other person officially connected with the Promotion; and
      5. any customers that currently receive or are connected to a customer that currently has in place a discount or bespoke written agreement on pricing including: Deeplas customer, national accounts or rebate agreements with any member of the Eurocell Group and in such instances the customer will be notified that they are not eligible for the Promotion.
    2. If the Participant is acting as an individual or a partnership, the Participant must:
      1. register for or be invited to join the Promotion in accordance with clause 3.3; and
      2. be aged 18 or over at the date of the first day of the month during which the Participant registers for the Promotion (the "Promotion Joining Date"). Each anniversary of the Promotion Joining Date (each 12-month period shall be termed a "Promotion Period").
    3. If the Participant is a limited company or another entity with separate legal identity the Representative of that Participant must:
      1. register for or be invited to join the Promotion in accordance with clause 3.3; and
      2. be aged 18 or over; and
      3. make the Participant aware of the Promotion, including gaining consent to enter into the Promotion on its behalf and having the authority to bind the Participant.
    4. The Participant shall be responsible for inputting correct and complete information on registration and keeping their subsequent account information and contact details up to date. Participants must notify Eurocell immediately if there are any changes to their account information or contact details by emailing powerup@eurocell.co.uk. Eurocell will not be liable for any breach of these Terms and Conditions arising from the Participant's failure to update the information submitted or for any lost, delayed or undeliverable communications. If the Participant fails to update their information in accordance with this clause 2.4, they may be disqualified and all accrued Points withdrawn.
  3. THE PROMOTION
    1. The Promotion shall continue until terminated by Eurocell in accordance with clause 8.
    2. Under the Promotion, Eurocell shall:
      1. reward Points against Qualifying Purchases under the Everyday Points Scheme and Power Points Scheme which can be spent on the Incentives;
      2. offer exclusive discounts from time to time; and
      3. offer gifts for special occasions at their discretion.
    3. To participate in the Promotion, Participants must:
      1. be invited to join the promotion by a branch manager or branch colleague of Eurocell and/or by email communication from Eurocell; and
      2. fill in the online registration form provided in the email invitation or at the branch using their Trade Cash or Credit Account.
    4. Registration by a third party on behalf of a Participant or joint registration will not be accepted.
    5. Participants (including connected companies) are only entitled to register for one account.
    6. Eurocell shall verify all accounts for compliance with these Terms and Conditions and reserves the right to remove a Participant from the Promotion for whatever reason or to refuse, merge or close additional Reward Accounts at any time. Eurocell’s decision shall be final and binding.
    7. Within 3 business days of an application’s approval by Eurocell, a Promotion account will be opened where the Participant’s rewards and benefits will be collated involving account migration where necessary (“Rewards Account”).
  4. POINTS COLLECTION
    1. A “Qualifying Spend” for the purposes of these terms and conditions is the purchase of Eurocell products from Eurocell online or in-branch by the Participant through their Trade Cash or Credit Account and/or using the customer account number associated with the Trade Cash or Credit Account. Any refund or discount will be disregarded from the Qualifying Spend.
    2. Subject to clause 4.1 and 4.3, Participants will receive 1 loyalty point for every 10 pence spent on Qualifying Spend (“Points”) which can be Redeemed (as defined in clause 5.1) for Incentives (as defined at clause 5.1 below) (“Everyday Points Scheme”).
    3. Eurocell reserves the right to exclude certain products from the definition of Qualifying Spend under the Promotion or to change the Points earned under this clause 4, at their discretion.
    4. Points will be awarded from the Promotion Joining Date, unless the Participant was a member of a previous Eurocell reward scheme, in which case, Points awarded to the Participant’s previous account shall migrate over.
    5. Eurocell may from time-to-time award an enhanced level of Points during set periods on certain products in addition to a Participants Point entitlement under the Everyday Point Scheme set out at clause 4.2 (“Power Points”). Power Points shall be governed by these Terms and Conditions and shall be uploaded into the pending or available Points balance of the Participants Reward Account in accordance with clause 4.6.
    6. After the order of a Product amounting to Qualifying Spend, if:
      1. payment is made at the time of purchase, Points will automatically be uploaded to the Participant’s Rewards Account within 2 business days of the products being purchased; or
      2. payment is due within a specified period after the order is made, Points will be shown as pending in the Participants Rewards Account within 2 business days of the order. Points will then transfer to the Participant’s Rewards Account available balance within 2 business days of receipt of payment.
    7. If a refund is processed or a credit note is issued for part or all a Qualifying Spend, Eurocell shall deduct the corresponding Points awarded for all or the part of the Qualifying Spend refunded from the Participants Reward Account within 30 days of the refund (“Deducted Points”). If the Points have already been Redeemed, Eurocell shall be entitled to clawback the value of the relevant Points from future accrual Points.
    8. Eurocell reserves the right to refuse to allocate Points to any transaction which it has reason to believe is a fraudulent transaction.
    9. Points are:
      1. non-transferable;
      2. not to be sold;
      3. non-exchangeable for cash or goods sold by Eurocell online or in-branch; and
      4. only valid against Incentives for the purposes permitted under these Terms and Conditions.
      If a Participant attempts to transfer Points in any way, Eurocell reserves the right to take such action against the Participant as it considers appropriate.
    10. Eurocell (and/or its agents) will record all Qualifying Spend for the relevant Promotion Period and the corresponding Points in the Participants Reward Account. Available and pending Points will be updated in the Rewards Account on a regular basis. Points shall not be redeemable until showing as available on the Rewards Account.
    11. Eurocell’s decision as to which spend by a Participant will and will not count towards the Qualifying Spend shall be binding on the Participant and final and they reserve the right to correct any mistakes in respect of Qualifying Spend and/or Points. Participants are recommended to keep records of transactions to check the information held is accurate.
    12. The Participant is the holder of its Points and is responsible for their security. Eurocell remains the overall owner of the Points at all times until redeemed by the relevant Participant.
    13. Points must be redeemed (as defined in clause 5.1.2) within 12 calendar months of the date they were credited to the Rewards Account. All Points will expire and be removed from the Account on the last day of the calendar month that falls 12 months after they were credited to the Account. The Participant will not be entitled to compensation or damages from Eurocell and/or its agents in connection with those expired points.
  5. CLAIMING AN INCENTIVE
    1. Redemption Process
      1. Points can be Redeemed against goods and services advertised and available on the Rewards Platform (eurocellpowerup.co.uk) for the appropriate number of points at any time (“Incentives”).
      2. If a Participant wishes to redeem its Points against Incentives, it must submit an online redemption form via the Website for any Incentives that it wishes to claim (a "Redemption", and “Redeem” and “Redeemed” shall be construed accordingly). At the point in time that the Redemption is submitted, the Participant must have sufficient Points within its Account for the full value of the Incentive being claimed. Part payment of Points towards an Incentive is not permitted.
      3. The number of Points payable for each Incentive is shown on the Rewards Platform and may be amended at any time prior to the Participant submitting a Redemption for a particular Incentive.
      4. Dates on which the Incentives will take place will be available on the Rewards Platform.
      5. If a Participant submits a Redemption and prior to the Participant receiving the Incentive any Deducted Points takes the Participant's Points total within its Rewards Account to a negative figure, Eurocell reserves the right to cancel the Incentive which the Participant submitted the Redemption for. The Points that the Participant had submitted the Redemption for will then be returned to its Account and the Participant may go onto submit a further Redemption in due course.
      6. Once Redeemed, the Participants Rewards Account available Points balance will be updated to reflect the reduction from the Redeemed Points.
    2. The Participant acknowledges that transactions on which Points are Redeemed may be made directly with third party merchants and/or suppliers (the "Promotion Partners", each a "Promotion Partner") who may offer links to their websites via the Website ("Third Party Sites"). These links are provided for your information only, Eurocell is not responsible for and provides no approval of Third Party Sites, links to such or information a Participant may obtain from them.
    3. Eurocell is not directly linked to any of the retailers whose products are listed on the Rewards Platform and any arrangement to Redeem Points against an Incentive is a contract directly with the Promotion Partner. The Promotion Partner supplying the Incentive shall be responsible for and take all liability for claims, whether in contract or in tort (including negligence) or otherwise, arising out of or in connection with the Incentive. In the event that any Promotion Partner is unable or unwilling to meet its obligations then Eurocell will have no liability.
    4. Incentives may be subject to limited availability and change. The Participant acknowledges and understands that all Incentives may be withdrawn or cancelled by Eurocell (in its absolute discretion) without notice.
    5. Eurocell reserves its right to:
      1. modify the details or dates of any Incentives or the Promotion without prior notice at any time and for any reason; and
      2. substitute any Incentive with an incentive/reward of equivalent value in the event of circumstances outside of its control.
    6. Despite the efforts of Eurocell and/or its agents and Promotion Partners, some Incentives advertised on the Rewards Platform may have been attributed with an incorrect value (i.e. the number of Points payable for that Incentive). If this is the case Eurocell and/or its agent will contact the Participant or the Representative (if any) and determine how best to proceed. For the avoidance of doubt, there will be no obligation on Eurocell to provide Incentives for the number of Points advertised where such an error has been made, whether by Eurocell, a Promotion Partner, an agent or any other third party.
    7. Eurocell has no responsibility or liability for:
      1. the standard, quality or otherwise of any Incentives, goods or services received or supplied by a Promotion Partner;
      2. the delivery including late or non-delivery of Incentives or damage to delivered Incentives;
      3. any warranty supplied with Incentives;
      4. the failure of any Promotion Partner to honour a Redemption and any claims in relation to the same must be made directly with the Promotion Partner; or
      5. any restrictions or requirements impacting the use of Redeemed Incentives. The Participant will have sole responsibility for ensuring that it can meet any requirements set for use of the Incentive.
    8. Any dealings that the Participant, the Representative or the Nominee(s) (as defined in clause 5.11) may enter into with any Promotion Partner (or other third party) will be solely between them and that Promotion Partner (or other third party), including any transaction for the purchase of products from such Promotion Partners (or other third parties). All such dealings will be subject to the terms and conditions and privacy policies of such Promotion Partners (or other third parties) as are applicable to such transactions.
    9. Once Redeemed, the Incentive cannot be changed, cancelled, transferred, exchanged, sold or in any way traded.
    10. For the avoidance of doubt, Incentives earned by a business holding a Rewards Account shall be for the benefit of the named account holder and not any other individual (including the Representative). It is for the named account holder (i.e. the Participant) to nominate the person or persons who is/are to receive the Incentive ("Nominee(s)") at the time the online redemption form is submitted. The Nominee must be an employee of the Participant.
    11. Any Incentives that a Nominee receives are received purely in the capacity of an agent, acting on behalf of the Participant. It will be the responsibility of the Participant to determine who has access to the Promotion on its behalf and other than in accordance with clause 5.12, any decision entitling individuals to be the recipient of Incentives rests with the Participant and not with Eurocell.
    12. Incentives shall only be permitted to go ahead if: (i) on the date of applying for the Incentive the Participant has no outstanding invoices attributable to the Promotion Period; and (ii) their Trade Cash or Credit Account has not been suspended by Eurocell due to non-payment/legal issues.
    13. The Participant agrees to make all Nominees aware of these Terms and Conditions.
    14. As part of the Incentives, Participants may use their Points to make donations to listed charities available on the Rewards Platform from time to time (“Donations”). Donations may be added or removed from the Rewards Platform at the discretion of Eurocell. Participants who utilise their Points to make a Donation will receive an automated mail from Eurocell confirming the aggregate amount of the Donation and the date it was made to the charity.
    15. Eurocell will collate all Donations made in each half of a calendar year in a separate account and make a payment to the charity to the same value as the aggregate amount of all Donations collated over the relevant period.
  6. MEMBERSHIP AND ASSOCIATED BENEFITS
    1. Each Participant shall be awarded membership to the Promotion on registering for the Promotion, provided none of the exclusions detailed in these Terms and Conditions apply.
    2. Any enhanced level of Power Points to be awarded during a promotion will be detailed within the relevant Promotion terms and conditions or communicated by Eurocell to the Participant.
    3. In addition to redeeming Points, Participants shall be entitled to obtain discounts at specified retailers and businesses through their Rewards Account (“Always on Rewards”). Discounts are provided by third parties with no affiliation to Eurocell and may be removed or amended from time to time at the discretion of Eurocell.
    4. >Eurocell may issue exclusive discounts and additional rewards/gifts to Participants through the Rewards Programme at their discretion from time to time.
  7. LIABILITY
    1. Subject to clause 7.2:
      1. Eurocell shall under no circumstances whatsoever be liable to the Participant, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for: (i) any acts or failures of any Promotion Partner or other third party; or (ii) for any loss of profit, or any indirect or consequential loss arising under or in connection with the Promotion or the participation in the Promotion by any Participant or any Nominee; and
      2. Eurocell accepts no responsibility for any loss or damage caused by the negligence of Eurocell, its servants or agents out of or in connection with this Promotion except where caused by wilful neglect of Eurocell, its employees or agents.
    2. Nothing in these Terms and Conditions excludes or limits Eurocell’s liability for:
      1. death or personal injury resulting from the negligence of Eurocell, its employees or agents;
      2. fraud or fraudulent misrepresentation; or
      3. any matter in respect of which it would be unlawful for Eurocell to exclude or restrict liability.
    3. The Participant indemnifies each member of the Eurocell Group (and its employees, officers, directors, agents, marketing partners and affiliates) for all losses, damages, rights, claims and actions of any kind in connection with or arising from:
      1. any breach of these Terms and Conditions by the Participant or any person it selects to receive the Incentive; and
      2. the delivery of any Incentive;
      3. the acceptance of any Incentive;
      4. the use of any Incentive; and/or
      5. the misuse of any Incentive.
    4. The Participant acknowledges and agrees that accepting an Incentive may be subject to tax and/or national insurance. The Participant shall be fully responsible for any income tax, national insurance contributions and VAT payable as a result of or in connection with the receipt by the Participant or any individual selected by it of an Incentive. The Participant and shall indemnify Eurocell for and in respect of any VAT, corporation tax, income tax, national insurance and social security contributions (to the extent permitted by law) assessed on or becoming payable by any member of the Eurocell Group to HM Revenue and Customs (or any other tax authority in any jurisdiction) as a result of or in connection with the receipt by the Participant or any individual selected by it of an Incentive. The Participant and shall indemnify Eurocell and in respect of and any other liability, deduction, contribution, assessment or claim arising from or made in connection with receipt by the Participant or any individual selected by it of an Incentive. For further information the Participant should contact its nearest Inland Revenue Office.
  8. TERMINATION
    1. Eurocell reserves the right to amend, suspend, cancel, withdraw or alter the Promotion and any Incentive in whole or in part at any time, including these Terms and Conditions, without prior notice or compensation and the Participant's:
      1. right to use any accumulated Points will be forfeited; and
      2. will not be entitled to any compensation or damages from Eurocell, its agents or any third party.
    2. Eurocell may terminate the Participant's participation in the Promotion and cancel or suspend any Points in the Participant's Rewards Account by notifying the Participant and/or the Representative (if any) in writing if Eurocell reasonably believes that the Participant and/or the Representative:
      1. has acted in a way that harms Eurocell or any member of the Eurocell Group, or any of its or their agents, the Promotion or any Promotion Partner;
      2. has engaged in any illegal or fraudulent activities;
      3. has collected or Redeemed Points dishonestly or in a way that breaches these Terms and Conditions;
      4. has acted in a hostile, abusive or aggressive manner towards any of Eurocell employees, any member of the Eurocell Group’s employees, any of its agents' employees or any of its Promotion Partner's employees;
      5. has knowingly provided false or misleading information at any time in relation to the Participant's participation in the Promotion;
      6. has breached or attempted to breach any of the terms relating to the Participant's Rewards Account or their Eurocell Trade Cash or Credit Account (including, but not by way of limitation, failing to failure to pay an invoice in accordance with the applicable payment terms); and/or
      7. has had a zero balance on its Eurocell Trade Cash or Credit Account for a consecutive 12-month period.
    3. Eurocell may also suspend the Participant's participation in the Promotion by notifying the Participant and/or the Representative immediately if Eurocell reasonably believes that the Participant and/or the Representative:
      1. is in breach of these Terms and Conditions; or
      2. the Rewards Account is being misused or has been misused for any fraudulent or illegal activity or has been accessed by an unauthorised third party; or
      3. has failed to pay an invoice in accordance with the applicable payment term,
      any such suspension shall remain in place until the Participant provides sufficient proof that the breach has been remedied, there is not misuse, fraudulent or illegal activity or the invoice has been paid.
    4. In the event that the Participant's Reward Account is withdrawn from the Promotion or is terminated at Eurocell’s discretion, the Participant's right to use any accumulated Points will be forfeited and the Participant will not be entitled to any compensation or damages from Eurocell its agents or any third party.
    5. The Participant or the Representative can choose to withdraw the Participant's participation in the Promotion at any time by contacting the Promotion administrator by email at powerup@eurocell.co.uk. Any accumulated Points not claimed by the date of withdrawal shall be forfeited and the Participant will not be entitled to any compensation or damages from Eurocell and/or its agents.
  9. DATA PROTECTION
    1. Eurocell will process the personal data of Participants, Representatives, Nominees and other individuals in accordance with our privacy notice www.eurocell.co.uk/privacy-policy. It is the Participant's responsibility to keep secure any information that might identify the Participant and/or its Representative and allow access to the Participant's Rewards Account. Neither Eurocell nor its agents shall be responsible or liable in any way if a person is not able to Redeem or spend any Points as a result of the Participant and/or the Representative not taking proper care and security of the Participant's Reward Account details.
    2. Eurocell may communicate with Participants regarding the Promotion via the Website, emails, text messages, instant messaging, letter or direct mail.
  10. GENERAL CONDITIONS
    1. These Terms and Conditions replace all previous versions and are correct as at the date indicated on page 1 above.
    2. Eurocell reserves the right to amend these Terms and Conditions, the Website Terms and Conditions, the Privacy Policy and/or Cookie Notice at any time. Participants who continue to participate in the Promotion following any such amendments will be considered to have accepted such updated documents.
    3. Any advice or actions of Eurocell employees, the employees of any of the agents or the employees of any Promotion Partners engaged in connection with the Promotion, that is contrary to these Terms and Conditions will not have the effect of amending these Terms and Conditions.
    4. Eurocell (and its employees, officers, directors, agents, marketing partners and affiliates) shall not be in breach of these Terms and Conditions or be liable for any disruption to the Promotion, an Incentive, or any delay in performing or failure to perform, any of its obligations under these Terms and Conditions if such disruption, delay or failure results from events beyond the reasonable control of Eurocell. Such circumstances shall include, but not be limited to, acts of God, adverse weather, fire, flood, computer virus, mobile phone failures, bugs, sabotage, strike, industrial dispute, war, hostilities, political unrest, riots, civil commotion or unrest, terrorism or supervening legislation (“Force Majeure Event”).
    5. Eurocell reserves the right to vary these Terms and Conditions or cancel the Promotion at any stage if a Force Majeure Event occurs.
    6. No failure or delay by Eurocell to exercise any right or remedy provided under these Terms and Conditions or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
    7. No one other than Eurocell and the Participant, their successors and permitted assignees, shall have any right to enforce any of these Terms and Conditions.
    8. Nothing in these Terms and Conditions is intended to, or shall be deemed to, establish any partnership between Eurocell and any of the Promotion Partners.
    9. These Terms and Conditions, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and the English courts shall have exclusive jurisdiction over any proceedings in connection with these Terms and Conditions and the Eurocell Promotion.
    10. The Participant's statutory rights are not affected by any of the above Terms and Conditions.
    11. Any correspondence including queries and complaints regarding the Promotion should be addressed to the Eurocell Rewards Promotion administrator and emailed to powerup@eurocell.co.uk.
